Bylaws
Name
The name of this organization is the San Diego Industrial / Organizational Professionals (SDIOP).
Non-Profit Status
SDIOP is established exclusively for scientific and educational purposes as a mutual benefit not-for-profit corporation. No part of the income, earnings, or assets of SDIOP shall be used to benefit any individual officer or member, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered.
SDIOP will become a registered not-for-profit corporation, incorporated in the State of California.
Mission
The Mission of SDIOP is to
- Provide high value education and professional development opportunities for members.
- Promote the exchange of high quality scientific, practical, and/or theoretical research & information among members.
- Serve as an open forum where members may meet and discuss topics of mutual interest and concern.
- Develop a strong, unified voice that will serve the I/O field and enhance business leader awareness of our potential to add value.
- Build a synergistic relationship among I/O professionals in academia and in business and between both groups and graduate students.
It is not intended to be a vehicle for members to actively engage in sales presentations, job searches, and/or client searches.
Values
SDIOP is guided by a core set of beliefs and values:
- Involvement-we promote the active involvement of SDIOP's membership in shaping the organization and its activities and in taking responsibility for making things happen.
- Collaboration-we promote collaboration among members and the development of partnerships with other professional organizations & businesses.
- Learning-professional development, whether through presentations or member discussions, is at the heart of why we have formed.
- Quality-everything we do will be of the highest standards for our field. Quality of presentations and information exchange is more important the quantity.
- Promoting the Field of I/O-we promote the development of a unified voice for our field so the I/O community benefits from being part of a distinct field and so we can educate business leaders on our value.
Membership
There will be two classes of membership:
- Professional membership is open to all professionals of the industrial/organizational psychology community in the greater San Diego area who are participating in the research and/or application of industrial/organizational principles in business, government, academia, or consulting. Professional members must have a master's or doctorate in I/O or related fields (for example: Organizational Behavior, Consulting Psychologists, Education, Organizational Development, Human Resources Management).
- Student membership shall be available to any person currently enrolled, on a part-time or full-time basis, in a graduate I/O psychology program, or related program. Student members shall not have the right to vote or hold office, but shall have access to all other benefits of membership.
Dues
Annual membership dues shall be set by the Executive Committee & announced to the membership.
- The dues for continuing members shall be payable by the annual business meeting.
- Dues paid cover the annual cycle from July 1 to June 30 regardless of when paid.
- The dues for student members shall be no more than one-half of the dues for professional members.
- All membership dues shall be paid to the Treasurer.
- Upon the dissolution of SDIOP and after paying any outstanding debts, any assets remaining in the treasury shall be distributed to an organization which has exempt status under 501(c)(3) of the Internal Revenue Code or successor statutory authority. The organization to receive the remaining assets of SDIOP shall be determined by the Executive Committee.
Organizational Structure
Executive Committee
The Executive Committee shall consist of the currently serving elected officers of SDIOP and the immediate past president, each of whom shall have equal voting status.
The elected officers of SDIOP shall be President, Secretary, Treasurer, and Program Chair.
Elected officers shall be dues-paid Professional members of SDIOP.
The term for all elected officers of SDIOP shall be one year. Elections for SDIOP officers shall be held in May of each year. No individual may concurrently serve in more than one office, nor may any individual occupy the same office for two consecutive terms.
The Executive Committee shall be responsible for the day-to-day operations of the organization including: the collection and accounting of dues, payment of expenses, organization of meetings, preparation of appropriate programs and discussions for regularly scheduled meetings, establishment and maintenance of the SDIOP web site, and preparation and dissemination of a newsletter and membership directory. In addition, the Executive Committee will be responsible for appointing representatives to the program committee, and the nominations and elections committee. The Executive Committee shall organize and appoint members to any other committees deemed necessary to carry out the affairs of SDIOP. At the time a committee is organized the Executive Committee that Committee shall be responsible for developing a committee charge, which outlines the committee's duties and responsibilities.
A quorum of the Executive Committee shall consist of 60 percent of the Executive Committee members.
Executive Committee members who fail to meet their commitments and obligations (including, but not limited to meeting participation and fulfillment of their functional responsibilities) shall forfeit their positions. After reasonable notice, the Executive Committee may invite a new committee member on board, or, may redistribute responsibilities on the team.
Sub-Committees
At the discretion of the Executive Committee, subcommittees may be formed to carry out very specific purposes in support of SDIOP's goals. These committees may include: program development, membership, communications, community alliances, sponsorships, networking, etc. Subcommittee formation supports the goal of having active involvement of members in the creation and promotion of the SDIOP organization.
Subcommittees are chaired by an Executive Committee member responsible for the specific charge to the committee or by a member selected by the Executive Committee from the membership at large. The Executive Committee has the right to initiate or terminate a sub-committee at any time if there is a perceived gap or the group is not working in support of SDIOP goals.
There are no elections for subcommittee membership. All dues-paying members may participate on a sub-committee at any time. There are no term limits to subcommittee membership.
Meeting times and places for subcommittees are elected by each individual subcommittee.
Meetings
The Executive Committee shall meet at least four times per year to carry out its duties at such times and at such places as it may elect. Notice of such meetings shall be sent to each member of the Executive Committee by the President.
The Executive Committee shall provide an update to the membership at the beginning of each Program meeting. This update shall include but not be limited to: status of the membership, status of the Treasury, planned forthcoming events, and any other news deemed to be important to the membership.
The date, time and place of Program meetings shall be announced to the membership at least seven days in advance of the due date for reservations for such meetings.
The Members may be charged a reasonable cost for each meeting, and the Executive Committee may impose a surcharge to nonmembers for attendance at any SDIOP meeting.
The determination of a reasonable cost for each meeting will be the responsibility of the Program Chair in consultation with other members of the Executive Committee. In determining the cost of a meeting, the Program Chair will take into account the expenses associated with the meeting and the anticipated attendance.
Persons who make reservations but fail to appear at a meeting shall, nevertheless, be required to pay for the meeting (if a fee was involved), unless the reservation is canceled within the prescribed time limit set by the Program Chair.
The Executive Committee shall hold an annual business meeting. The Executive Committee will determine the date of the business meeting and will notify the membership that the meeting is the SDIOP annual business meeting. Members will be encouraged to attend this meeting.
The Chairperson of each SDIOP Sub-Committee shall conduct such meetings as needed to carry out the duties of the committee. Sub-committee meetings are open to any dues-paying member.
Nominations & Elections
To be nominated, elected and continue to hold office as a member of the Executive Committee, an individual must be a dues paid professional member of SDIOP, and must have demonstrated a willingness to contribute actively of time and talent to the goals of SDIOP.
The President shall appoint a nominations and elections committee of three members, to be chaired by a member of the Executive Committee. The other two members of the nominations and elections committee will be selected from the membership at large. The nominations and election committee will perform the following duties:
- Develop a slate of candidates by soliciting nominations from the general membership for all elected offices.
- Call for a vote by the members on the slate of officers via web administration.
- Tally the election results and communicate the results to the membership.
Candidates elected to the Executive Committee will officially take office at the beginning of July. It is highly recommended that the newly elected officers begin to participate in executive committee meetings immediately following confirmation of their elected status so that there is adequate time for transition of roles and planning for the next year.
Rules of Operation
The meetings and proceedings of SDIOP shall follow ground rules for effective meeting management.
Actions and decisions of the Executive Committee, excluding those actions that fall within the responsibilities outlined in the rest of these bylaws, shall be subject to the approval of membership.
Except as otherwise may be provided in these bylaws, all matters requiring a vote of the members shall be decided in a simple majority vote of professional members present and voting. Each professional member shall have one vote. Voting shall be by voice or ballot, as determined by the President.
Amendments
Amendments to any provision of these bylaws may be proposed by dues-paying members or by recommendation of the Executive Committee.
Such amendments will become a part of the bylaws through a majority vote of the professional members voting at the following meeting, or through an online election process. The form for the vote will be up to the discretion of the Executive Committee.
Proposed amendments to the bylaws must be submitted to the Executive Committee and then made available (either in written or electronic form) to all dues-paying members at least one week before a vote is made on that particular issue.
